Areas of expertise

Mark has broad corporate legal experience in both New Zealand and the United Kingdom and specialises in mergers and acquisitions, private equity, securities law transactions, corporate governance advice, and shareholder agreements. Mark has particular experience in working with clients in the financial services industry.

Some of Mark's major projects

• Working as a secondment to National Australia Bank advising on the acquisition of Great Western Bank in the United States of America
• Advising AAC Capital on the sale by ABN Amro Bank N.V of its interests in the AAC Capital fund to a consortium led by Goldman Sachs Asset Management
• Advising AAC Capital (formerly ABN Amro Private Equity) on the secondary private equity buyouts of: OyezStraker Group Holdings Limited from Hermes Private Equity; Volution Holdings Limited from Montagu Private Equity; and U-POL Products Limited from Graphite Capital
• Advising National Australia Bank on the disposal of the UK business Custom Fleet Limited as part of a wider disposal of the Custom Fleet business in Australia, New Zealand and the United Kingdom
• Advising Rakon Limited on its purchase of C-MAC MicroTechnology's UK and France based frequency control products division for US$37 million and on the subsequent sale of its UK based traded products division (a part of the business acquired from C-MAC) to IQD Frequency Products
• Advising GE Money Bank on its acquisition of a majority stake in Bank BPH in Poland from UniCredito S.p.a
• Advising Accor Services (part of the Accor hotel group) on its acquisitions of PrePay Technologies Limited and Motivano Limited
• Advising on equity investments into MDM Bank in Russia by Olivant Investments (a UK based private equity fund) and the International Finance Corporation (a subsidiary of the World Bank)
• Advising on the sale by National Australia Bank of Northern Bank Limited (based in Northern Ireland) and National Irish Bank Limited (based in Ireland) to Danske Bank
