Kate advises financiers, borrowers and arrangers across a broad range of areas with a focus on corporate finance, syndicated lending, asset finance and leasing, and structured finance. She has extensive experience in asset backed securitisation, derivatives, syndicated lending, debt securities, cross-border leasing and tax efficient funding structures.

Structured Finance
  • Advising financiers in relation to both cross-border and domestic redeemable preference share funding transactions
  • Advising participants in a wide variety of structured finance transactions
  • Advising derivative counterparties on a broad range of derivative transactions in the context of both stand-alone trades and structured transactions. Kate has experience in ISDA documentation, including experience in the negotiation of credit support documentation
  • Advising counterparties in a variety of cross-border funding structures including intangible property and re-purchase transactions
Securitisation
  • Acting for the originator of a USD 2.1 billion securitisation. This transaction was highly complex involving collateral in seven jurisdictions and the associated multiplicity of tax and legal issues. The relevant securities were offered in the US pursuant to Rule 144A, were partially credit wrapped, and were listed in two jurisdictions
  • Acting for a conduit sponsor in the CP financing of a variety of secured asset transactions
  • Acting for the underwriter of a large securitisation of a portfolio of leased aircraft. This transaction was the first "building pool" financing of this asset type
General Capital Markets
  • Acting for the underwriter and lead manager in relation to a listed public offer of Capital Notes in New Zealand
  • Acting for the arranger of a £1 billion bond programme to finance PPP projects in the United Kingdom
  • Acting for the New Zealand issuer in relation to two significant public bond issues
  • Acting for the trustee and issuer in relation to various other securities offerings
Leasing
  • Acting for arrangers, lenders, lessors, lessees and manufacturers in a large variety of lease structures - including operating and finance leases, and German, Japanese, United States and Swedish leveraged leases in a large range of asset classes - including wide-bodied, narrow-bodied and regional aircraft, ships, rolling stock and infrastructure assets
  • Acted for a number of lessors of Aircraft parts and simulators to be leased into New Zealand
  • Assisted in advising New Zealand lessees in relation to in-bound US leases
  • Acted for an Australian leasing company in relation to a structured lease financing of a New Zealand ship
  • Acted for a New Zealand bank in relation to its financing of a private jet
  • Acted for a New Zealand bank in relation to the financing of several ships
General Financing
  • Acting for a major New Zealand bank in relation to a large and complex acquisition finance
  • Acting for a major New Zealand bank in relation to a large refinancing of a group of companies
  • Acting for lenders and lessors in a large number of aircraft and ship financings, both structured and on a straight security basis
  • Acting for a major New Zealand corporate in relation to its Bond programme, CP Programme and other funding requirements
